Terms and Conditions for BIO’NAS Group

(Governing BIO’NAS Atelier & BIO’NAS Academy)

Welcome to BIO’NAS Group (“we,” “us,” “our,” or “the Company”). These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “client,” or “student”), and BIO’NAS Group, concerning your access to and use of our website, your purchases from BIO’NAS Atelier, and your enrollment at BIO’NAS Academy (located in Ibadan and Oyo Town).

By accessing our website, purchasing our products, or registering for our courses, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree, you must discontinue use of our services immediately.

PART A: BIO’NAS ATELIER (Fashion Brand Terms)

1. Bespoke Orders and Measurement Policies

  1. Measurement Accuracy: For custom, bespoke, or made-to-measure garments, clients must provide accurate measurements or attend a designated physical fitting session at our Ibadan or Oyo Town locations. BIO’NAS Atelier accepts no responsibility or liability for fit issues resulting from inaccurate self-submitted measurements.
  2. Complimentary Alterations: Complimentary alterations on custom orders are restricted to a window of [7/14] days post-delivery or pickup, and are only applicable if the fit discrepancy stems from an production error on our part. Alterations requested after this window, or caused by subsequent client body fluctuations, will attract additional tailoring fees.

2. Payments, Production, and Deliveries

  1. Commitment Deposits: Custom and bespoke orders require a minimum non-refundable commitment deposit of [50%] of the total estimated invoice before fabric sourcing, pattern drafting, and construction begin.
  2. Balance Clearance: The remaining balance must be cleared in full before the finished garment can be picked up from our atelier or dispatched for shipping.
  3. Shipping and Logistics: Any delivery dates provided at checkout or during consultations are strictly estimates. While we partner with reliable courier services, BIO’NAS Atelier is not liable for regional transit or logistics delays beyond our direct control.

3. Returns, Exchanges, and Refunds

  1. Bespoke/Custom Items: Due to the highly personalized nature of custom clothing constructed to individual body specifications, all sales of bespoke items are final. Refunds, returns, or exchanges are strictly prohibited unless the garment possesses an unfixable material manufacturing defect.
  2. Ready-to-Wear (RTW): Unworn, unwashed, and unaltered RTW items with all original tags and packaging intact may be exchanged or returned for store credit within [7] days of receipt. Cash refunds are not issued for change-of-mind purchases.

PART B: BIO’NAS ACADEMY (Educational Institution Terms)

4. Admission and Financial Policies

  1. Enrollment: Admission to BIO’NAS Academy is formalized only upon the completion of standard registration forms, identity verification, and the payment of the required non-refundable registration fee.
  2. Tuition Payment Structures: Course tuition must be paid in full upfront or strictly adhere to the pre-approved milestone installment layout agreed upon at enrollment.
  3. Refund Policy: Registration fees are strictly non-refundable. Tuition refunds may only be considered under exceptional, documented circumstances if a written appeal is submitted to the administration within [7/14] days of the official semester start date. Approved refunds are subject to administrative processing deductions. No refunds apply to mid-term dropouts.
  4. Financial Delinquency: Failure to clear outstanding tuition balances by the agreed milestone deadlines will result in immediate suspension from classes, temporary revocation of workshop/machinery use, and the withholding of final graduation certificates or transcripts.

5. Campus Conduct, Safety, and Institutional Property

  1. Codes of Conduct: Students are expected to maintain professional decorum, punctuality, and mutual respect toward instructors, peers, and atelier clients. Bullying, harassment, vandalism, or intellectual property theft (such as copying a classmate's proprietary collection concepts) will result in immediate expulsion without a refund.
  2. Machinery Safety and Liability: Students will receive comprehensive safety induction on industrial sewing machines, heavy-duty pressing equipment, and cutting tools. BIO’NAS Academy accepts no liability for personal injuries resulting from a student's negligence, carelessness, or explicit disregard for written safety and operating instructions. Students are solely responsible for their personal belongings while on campus.

PART C: GENERAL LEGAL PROVISIONS

6. Intellectual Property Rights

Unless otherwise indicated, the website, website designs, source code, text, graphics, and logos (collectively, the “Content” and “Marks”) are owned and controlled by BIO’NAS Group. Furthermore, all curriculum frameworks, proprietary pattern blocks, grading rubrics, training manuals, and instructional videos are the exclusive intellectual property of BIO’NAS Academy.

  1. Showcase of Work: While students retain physical ownership of garments they construct, BIO’NAS Group retains an irrevocable, royalty-free right to photograph, video record, and publish media of student creations across our digital platforms, portfolios, catalogs, and social media channels for institutional marketing, grading, and archive purposes.

7. Limitation of Liability

In no event shall BIO’NAS Group, its directors, instructors, tailors, or employees be liable to you or any third party for any direct, indirect, consequential, incidental, or punitive damages—including lost profits or loss of data—arising from your use of our digital platforms, the wear of our garments, or your participation in our physical training workshops.

8. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute, controversy, or claim arising out of or relating to these terms shall first be subjected to amicable negotiation and mediation within Oyo State. If a resolution cannot be reached via mediation, the dispute shall be brought before a competent court of law in Oyo State, Nigeria.

9. Modifications to Terms

We reserve the right to modify, amend, or update these Terms and Conditions at our sole discretion at any time without prior notice. The "Last Updated" date at the top of this document will reflect the latest version. Your continued use of our services or enrollment after updates are posted constitutes your acceptance of the revised terms.
